1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the let.ai website, products, and services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms.
If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not use the Service.
2. Eligibility
You may use the Service only if you meet all of the following requirements:
- You are at least the age of majority in your jurisdiction.
- You have the legal capacity to enter into a binding agreement.
- You are not prohibited from using the Service under applicable law.
3. Accounts and Organizations
To use the Service, you must create an account and provide accurate, current, and complete information.
Users may create or join organizations and projects within the Service. Organization owners and administrators may manage members, roles, permissions, and access to projects.
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities under your account
- Ensuring your use (and your organization’s use) complies with these Terms
We may suspend or terminate accounts that violate these Terms.
4. Subscriptions and Billing
Certain features of the Service require an active subscription plan.
Subscription plans (e.g., Starter, Pro, Team, Business) may differ based on:
- The amount of AI credits included per billing period
- Available features
- Optional add-ons
Plans do not impose fixed limits on the number of users unless explicitly stated within the Service.
4.1 Billing and Renewal
Subscriptions are billed in advance on a recurring basis (monthly or annually), depending on your selected plan.
Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.
By providing a payment method, you authorize us and our payment provider (including Stripe) to charge all applicable fees.
If payment cannot be processed, we may suspend or restrict access to the Service.
4.2 Cancellation
You may cancel your subscription at any time through your billing settings.
If you cancel:
- Your subscription remains active until the end of the current billing period.
- After the billing period ends, the subscription becomes inactive.
- Once inactive, access to certain features may be restricted (for example, your workspace may become read-only) until a new subscription is activated.
We do not provide refunds for unused portions of a billing period unless required by law.
5. AI Credits
Access to AI-powered functionality is based on AI credits.
Each subscription plan includes a defined amount of AI credits per billing period. Plans may differ based on the amount of credits included.
AI credits may also be purchased separately as prepaid credits.
AI credits are consumed when using AI-powered features, including agents, chat, automation, planning, development, and other AI-assisted functionality as described in the Service.
5.1 Credit Expiration
Included (monthly) AI credits may expire at the end of the billing cycle.
Purchased AI credits may expire at a defined expiration date as described in the Service.
Expired credits cannot be restored.
5.2 Credit Usage Order
If multiple credit balances ("credit lots" or "credit buckets") exist, credits may be consumed in a defined order (for example, credits that expire sooner may be used first).
5.3 Excess Usage and Negative Balance
In limited cases, usage may exceed your available AI credit balance.
If this occurs:
- Your AI credit balance may temporarily show a negative value.
- Future allocated or purchased credits will first be applied to offset the negative balance.
- We may charge for excess usage at the rates displayed in the Service.
We reserve the right to limit or suspend AI functionality in cases of significant overuse or unpaid balances.
AI credits are non-transferable and non-refundable unless required by law.
6. Acceptable Use
You agree not to:
- Use the Service for unlawful purposes
- Infringe intellectual property or privacy rights
- Attempt to gain unauthorized access to accounts or systems
- Reverse engineer, decompile, or derive source code from the Service (except where permitted by law)
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to transmit malicious code, spam, or harmful content
We may investigate and take appropriate action, including suspension or termination, if your use violates these Terms.
7. Your Content and Data
You retain ownership of all content you submit to the Service, including code, documents, prompts, configurations, and AI outputs ("User Content").
By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display your User Content solely as necessary to provide and improve the Service.
You are responsible for:
- Ensuring you have the rights to upload and use User Content
- Not uploading content that is unlawful or infringes third-party rights
We do not claim ownership of repositories, data, or code connected through integrations such as GitHub.
8. AI Outputs and Limitations
The Service may generate AI outputs, including code, text, documentation, or recommendations ("AI Outputs").
You acknowledge and agree that:
- AI Outputs may be inaccurate, incomplete, or unsuitable
- You are responsible for reviewing and validating AI Outputs before relying on them
- We make no guarantees regarding correctness, reliability, or suitability of AI Outputs
AI Outputs are not a substitute for professional advice (legal, financial, medical, or otherwise).
9. Intellectual Property
The Service (excluding User Content) is owned by us or our licensors and protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Service without written permission.
10. Third-Party Services
The Service may integrate with third-party services (e.g., GitHub, Stripe, analytics tools).
We are not responsible for the content, policies, or practices of third-party services. Your use of such services is subject to their respective terms.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available."
We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that:
- The Service will be uninterrupted or error-free
- AI Outputs will be accurate or reliable
- Defects will be corrected
You use the Service at your own risk.
12. Limitation of Liability
To the maximum extent permitted by law:
We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or revenue.
Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply.
13. Termination
You may stop using the Service at any time.
We may suspend or terminate access if:
- You violate these Terms
- You fail to pay applicable fees
- Required by law
- We discontinue the Service
Upon termination, your right to use the Service ceases. Certain provisions survive termination.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date.
Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
Any disputes arising out of or relating to these Terms shall be resolved in the courts located in San Francisco, California, unless otherwise required by law.
